1. Who we are and these Terms
Merricove is an online storefront operated by Merita Holdings, INC, a Michigan corporation. In these Terms, “Merricove,” “we,” “us,” and “our” mean Merita Holdings, INC as operator of the store. “You” means a visitor or customer.
These Terms govern your use of merricove.com and purchases made through it. Our Privacy Policy, Shipping Policy, and Refund and Order-Issue Policy are incorporated into these Terms.
2. Eligibility and United States sales
You must have legal capacity to enter a binding contract and provide accurate information. This store currently offers delivery only to eligible United States addresses described in our Shipping Policy. We may reject or cancel an order addressed outside the supported area.
Products are for lawful personal use unless we agree otherwise in writing. You may not use the site or products for an unlawful purpose or in violation of instructions, safety notices, or applicable law.
3. Product information
We work to present descriptions, images, colors, dimensions, features, availability, and prices accurately. Displays and device settings can affect how colors appear. We will not substitute a materially different product without your express agreement.
Read the full product page and choose the intended option before ordering. The product information and price shown at checkout control the transaction, subject to correction of an obvious error before acceptance.
4. Orders, acceptance, and availability
An automated order confirmation acknowledges receipt; it does not guarantee acceptance, inventory, or shipment. We may accept, limit, or decline an order for legitimate reasons including unavailability, an obvious price or description error, suspected fraud, payment failure, an unsupported delivery address, or purchase limits.
If we cancel an order after collecting payment, we will refund the canceled amount to the original payment method. We will not charge a higher price or supply a materially different substitute without your agreement.
Contact us promptly to request a cancellation or address or option change. We will try to help before fulfillment begins, but cannot guarantee changes after processing or shipment.
5. Prices, payment, and taxes
Prices are stated in US dollars unless clearly noted. Order review shows the product price, discounts, shipping charge, and taxes collected by us before payment. You authorize the submitted payment method for the final displayed total.
6. Shipping and fulfillment partners
Our Shipping Policy governs delivery area, rates, timing, delay notices, tracking, and apparent loss. We may use third parties to store, fulfill, or transport an order. Those partners do not replace Merricove as seller or customer-service contact.
We will not make a customer remedy conditional on a fulfillment partner reimbursing us.
7. Refunds, replacements, and buyer's remorse
Our Refund and Order-Issue Policy governs damaged, defective, wrong, missing, late, and canceled orders. It also states that Merricove does not accept buyer's-remorse returns or exchanges for conforming products. Review that policy before purchase.
Do not ship a product to an address shown on a package or website unless Merricove first gives written return authorization and instructions.
8. No separate commercial warranty
Unless a product page expressly includes a separate written warranty, no additional commercial or extended product warranty is offered. This does not limit our published order remedies or an implied warranty, statutory guarantee, remedy, or liability that cannot lawfully be disclaimed or limited.
9. Accounts and communications
If you create an account, you are responsible for keeping credentials confidential and for activity under it. Notify us if you believe the account has been compromised.
We may send transactional messages needed to administer an order, account, policy update, security matter, or support request. Transactional messages are separate from marketing. Marketing communication is governed by the consent and unsubscribe choices described in our Privacy Policy.
10. Acceptable use
You may not use the site for fraud, unlawful activity, abuse, harassment, or infringement; interfere with site security or operation; introduce malicious code or attempt unauthorized access; misrepresent identity or payment authority; or copy and exploit site content in violation of intellectual-property rights.
We may restrict access or cancel a fraudulent or abusive order, subject to applicable law.
11. Intellectual property
The Merricove site design, original text, graphics, logos, and other content owned by Merita Holdings, INC are protected by applicable intellectual-property laws. Product names, marks, and content owned by third parties remain their owners' property. Site access or purchase does not transfer intellectual-property ownership.
12. Third-party services and links
Shopify and other providers support hosting, checkout, payment, analytics, fulfillment, and delivery. Their terms may govern your direct use of their services. We may link to third-party sites for convenience; we do not control their content or privacy practices. A third-party service does not change Merricove's obligations for a sale made by Merricove.
13. Privacy
Our Privacy Policy explains how personal information is collected, used, disclosed, and protected and how to exercise available privacy choices. Do not send full payment-card numbers, passwords, or other unnecessary sensitive information through email or the contact form.
14. Service availability and disclaimers
We may maintain, update, or discontinue site features. We do not promise that the website will be continuous or error-free. Except for express promises in these Terms, our policies, or a product page, and to the fullest extent permitted by law, the site is provided as available and we disclaim additional warranties about site operation.
Nothing here disclaims our obligation to deliver the product ordered, provide published remedies, or honor a duty or right that cannot lawfully be disclaimed.
15. Limitation of liability
To the fullest extent permitted by law, Merita Holdings, INC and its service providers will not be liable for indirect, incidental, special, exemplary, or consequential loss arising from site use when that loss was not reasonably foreseeable. To the fullest extent permitted by law, total liability for a claim relating to a product or order will not exceed the amount paid for the affected product.
These limits do not apply to fraud, willful misconduct, gross negligence, personal injury or property damage where liability cannot lawfully be limited, or a consumer protection, warranty, remedy, or right that cannot lawfully be waived.
16. Governing law and disputes
These Terms are governed by Michigan law and applicable United States federal law, without regard to conflict-of-law principles. A dispute may be brought in a court with lawful jurisdiction. This does not deprive a consumer of mandatory legal protections or a forum right that cannot lawfully be waived.
Before filing a claim, we encourage you to contact us so we can try to resolve it. This request does not shorten a legal deadline or require informal resolution where law provides otherwise.
17. Changes, severability, and no waiver
We may update these Terms for operational, legal, or regulatory reasons. The updated version will be posted with a new “Last updated” date and applies prospectively unless law permits otherwise.
If a provision is unlawful or unenforceable, it will be limited or severed to the minimum extent necessary and the remaining provisions continue. Failure to enforce a provision once is not a waiver.
18. Non-waivable rights
Nothing in these Terms limits or excludes a right, warranty, remedy, protection, forum, or liability that cannot lawfully be limited, excluded, or waived. If applicable law gives you more favorable rights, those rights control.
